Terms of Service

1. Acceptance of Terms

By accessing or using Onward (the Service), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service. These terms constitute a legally binding agreement between you and Onward Systems Inc. You must be at least 18 years of age to use the Service.

2. Description of Service

Onward is a career transition platform that provides AI-powered analysis, guidance, and community support for professionals navigating career transitions. The Service includes an AI advisor available through Connect, financial runway analysis through Clarity, job matching and career tools through Find Work, a daily personalized action plan, and community and events features.

Onward provides AI-generated analysis and personalized guidance only. The platform does not provide financial, legal, or professional advice. Users remain responsible for making their own financial and career decisions.

The Service is currently in beta. Features may change, be added, or be removed during the beta period.

3. Subscription and Pricing

Onward offers a Free tier and a paid Pro subscription. By subscribing to Onward Pro, you agree to the following:

• Free tier: Includes AI chat advisor with 3 guided messages per day, daily action plan with 1 personalized item per day, career insights 1 per month, resume upload and storage, financial runway preview showing headline number only, job feed view, community access, and events
• Onward Pro: Available at $29 per month billed monthly or $199 per year billed annually
• Pro features include unlimited AI chat, daily action plan with 5 personalized items, unlimited career insights, full financial runway breakdown across three scenarios, AI-generated financial plan, resume optimization and scoring, full resume rewrite with PDF download, active job search, warm introductions with 5 matches per week, and direct messaging
• No payment method is required for the Free tier
• You may cancel at any time from your Account settings or the Stripe customer portal
• Upon cancellation, you will retain Pro access until the end of your current billing period

Onward reserves the right to modify pricing or feature availability at any time. Changes will not affect existing paid subscriptions during their current billing period.

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials. You agree to provide accurate information during registration and to update it as necessary. You must notify us immediately of any unauthorized use of your account. You may not share your account credentials with any third party.

5. User Responsibilities

As a user of the Service, you agree to:

• Provide accurate and truthful information when using the platform
• Independently verify any job opportunities, career guidance, or financial analysis encountered through the Service
• Consult qualified professionals for financial, legal, or career advice before making decisions
• Comply with all applicable laws and regulations
• Follow the Community Guidelines when participating in community features

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to other users data
• Interfere with the Service infrastructure or security
• Redistribute or commercialize Service content without permission
• Post fraudulent job listings, scams, or misleading content in the community
• Harass, threaten, or abuse other users
• Use automated systems to access the Service without authorization
• Attempt to manipulate, reverse-engineer, or extract data from the AI advisor

7. AI Advisor and Financial Analysis Disclaimer

The Onward AI advisor generates analysis and guidance based on user-provided inputs and publicly available data. All outputs are AI-generated and do not constitute financial advice, tax guidance, or professional consultation. Always consult a qualified financial professional for personalized financial decisions. Onward is not responsible for financial decisions made based on the AI-generated analysis.

The AI advisor is powered by the Anthropic Claude API. Your conversation data is processed by Anthropic solely to deliver the requested functionality and is not retained by Anthropic for training purposes.

8. Financial Data Processing

The Clarity feature allows users to provide financial information for AI-powered runway analysis. By providing financial data, you acknowledge:

• Financial data is processed by the AI advisor to generate runway estimates
• Data is encrypted in transit and at rest
• Financial data is used solely to provide personalized analysis within the Service
• Onward does not share your financial data with third parties, employers, or data brokers
• You may delete your financial data at any time

9. Find Work Features

Onward provides AI-powered job matching, resume optimization, and career insights. By using these features, you agree:

• Onward does not apply to jobs on your behalf. You submit all applications yourself
• AI-generated resume rewrites, optimizations, and job matches are provided as guidance, not guarantees
• Onward does not guarantee job placement, interview requests, or employment outcomes
• Onward is not responsible for the content, accuracy, or availability of third-party job listings
• You are responsible for reviewing all AI-generated content before submitting it to employers

10. Warm Introductions and Community

Onward surfaces warm introductions to other members based on compatible professional backgrounds and goals. By using this feature, you acknowledge:

• Introductions are suggested based on AI analysis and are not guaranteed to result in referrals or employment
• You are responsible for conducting yourself professionally in all interactions
• Onward does not verify the identity, employment status, or credentials of other members
• Onward is not responsible for the outcome of any introductions or networking interactions

11. Intellectual Property

All content, features, and functionality of the Service are owned by Onward Systems Inc. and are protected by copyright, trademark, and other intellectual property laws. You retain ownership of all data and content you provide to the Service.

12. Privacy

Your use of the Service is governed by our Privacy Policy. You retain ownership of all data you provide. We do not sell or share your personal or financial data with third parties.

13. Termination and Cancellation

We may suspend or terminate your account at our discretion if you violate these Terms or our Community Guidelines. You may terminate your account at any time through account settings. Upon termination, your data will be permanently removed within 30 days.

If you cancel your Pro subscription, your access continues until the end of the current billing period. No partial refunds are issued for unused time within a billing period.

14. Dispute Resolution

Any dispute arising from these Terms shall first be attempted to be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration rather than in court, except that either party may bring claims in small claims court. You waive any right to participate in a class action lawsuit or class-wide arbitration.

15. Limitation of Liability

Onward provides the Service as is without warranties of any kind. We are not liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. To the maximum extent permitted by law, Onward total liability to you shall not exceed the amount you paid to Onward in the 12 months preceding the claim.

16. Governing Law

These Terms shall be governed by the laws of the State of Delaware, United States. Any disputes not subject to arbitration shall be resolved in the courts of the State of Delaware.

17. Changes to Terms

We may update these terms from time to time. We will notify users of material changes via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the updated terms.
